The enterprise has in its possession the land use right of 80mu allotted by the state and four two-storey buildings of brick and concrete structure and a number of single-storey buildings, totaling about 6500©O in construction area. There are over 2000 fruit trees with tree shade everywhere in the factory just like a garden. The factory is located near Youyi Road in Jiangnan District facing the inner ring road. There are convenient traffic facilities and it is within the administrative zone of Nanning Economic and Technological Development Zone. The land can be used for production purpose or as site of recreation ground or for real estate development. It is now open for lump sum transfer with basic conditions set forth as follows:
¢¡. The buyer will repay all the debt for the enterprise at a total amount of over 7 million Yuan.
¢¢. The buyer will pay the staff the dismissal wage: The factory has now a total of 143 staff members on the job and 113 retired staff members. It is required that a total of 1200 Yuan is paid for each working age per person for staff on the job (the total working age is 3350) and pay for the retired staff all the fees required of the enterprise by the state regulations and laws.
¢£. The buyer will pay compensation fees to the enterprises that have rent the workshops of the factory in order to buy them out for premature termination of rental contracts.
¢¤. If the buyer intends to change the use nature of the land, all the expenses thus caused will be on the buyer and the seller will help in the process.
¢¥. The encashment of fund of the purchase and the terms of payment for the overall transfer of the enterprise will be negotiated by both the buyer and the seller.

¢÷. Construction Conditions
The project is planned to be constructed within the Nanning Economic and Technological Development Zone.
Traffic Conditions: There is already in operation in Nanning Economic and Technological Development Zone a road network that radiates in all directions and is connected to the municipal road network. It is only 4km away from the downtown. Nanning-Beihai Expressway passes by the entrance of the Development Zone. The Development Zone is only 200km away from the two major seaports of Beihai and Fangchenggang. The Development Zone is only 2 km away from the Yongjiang River from where you can reach Baise city upstream and Guangzhou, Hong Kong and Macao downstream. The Development Zone is about 5 km away from the Shajing Railway Station on the Xianggui Line. Therefore there are convenient traffic and transportation facilities.
Communications: The Telecom Branch in the Development Zone has been put to use with a program-controlled telephone exchange of an installed capacity of 10,000 telephones.
Gas: Gas pipes have been laid to the boundary of the Development Zone and gas is supplied by the municipal gas company.
Water supply: The water source for the running water for Nanning Economic and technological Development Zone is supplied from the Yongjiang River. The designed supply capacity of the water works in the Development Zone is 20,000t/day. There is still a supply surplus of 17,500t/day, with a pressure of 3kg and a diameter of 500mm for the main pipes.
Power Supply: The power supply capacity of the 30,000kva of the substation in Nanning Economic and Technological Development Zone still has a margin of 10,000kva. The Development Zone is responsible for connecting the power to the land plot of the user and the electricity fee is charged according to the standard of the power supply bureau. The user can entrust the contractors to purchase and install the transformer equipment within his workshops.

It is expected that the annual sales income for the normal production period is85 million Yuan with an annual profit of 10 million Yuan.
¢ü. Progress of Preparation Work:
Because of the heavy burden of its previous debts and the outdated systems, etc., Nanning Water-heating Equipment Factory is operating in the red and there is no more working fund to be put in reproduction. Therefore, it stopped running from January of 2005.
